Private Limited Company Loan Documents Checklist 2026: Get Sanctioned Faster

Sep 10, 2026

A Private Limited company has the strongest borrowing profile among Indian business structures, but only if the paperwork is complete. Lenders do not reject strong companies — they reject incomplete files. This checklist covers every document a Pvt Ltd company needs for a business loan, term loan, CC/OD or LAP, and explains why each one matters.

Private Limited company business loan documents checklist with certificate of incorporation, GST, audited financials, ITR and bank statements on a desk

Why a document checklist is non-negotiable for a Pvt Ltd loan

When a bank says "your file is under process," 70% of the delay is usually document-related. A director forgot the latest GST return. The auditor's report is from two years ago. The board resolution is missing the security clause. Each gap costs 3-5 working days. A business loan documents checklist fixes this before the first conversation with the lender.

For a Private Limited company business loan, the lender is essentially lending to a separate legal person. That means the company must prove it exists, it is compliant, it earns profits, and the people signing the loan have authority to borrow. A checklist makes sure all four proofs arrive together.

KYC and legal existence documents

These establish that the company is real, active, and properly registered.

  • Certificate of Incorporation (COI): Issued by the MCA. It is the birth certificate of the company.
  • Memorandum and Articles of Association (MOA & AOA): Lenders check the main objects clause to confirm the loan purpose is within the company's business activity.
  • PAN card of the company: Mandatory for tax reporting and 26AS/TDS checks.
  • GST registration certificate: Proves the company is registered for tax and files regular returns.
  • Shop and Establishment Act licence / Udyam registration: Useful for MSME classification and priority-sector benefits.
  • Latest ROC filings: AOC-4 (financials), MGT-7 (annual return), and any active charges on the company.

Financial and income documents

This is where the lender decides whether the company can repay.

  • Audited financial statements: Last 2-3 years of balance sheet, profit and loss account, and cash-flow statement, signed by a practising Chartered Accountant.
  • Income Tax Returns (ITR): Acknowledged ITR-6 forms for the same period. Lenders match turnover declared to GST, banks and ITR.
  • GST returns: GSTR-3B and GSTR-1 for the last 12 months. This shows real sales momentum.
  • Bank statements: Current account statements for the last 6-12 months. Lenders look for healthy credits, no cheque bounces, and stable average balances.
  • Debtors and creditors ageing: Sometimes asked for working-capital facilities to assess cash-conversion cycle.
  • Tax audit report (if applicable): Section 44AB audit for companies crossing the turnover threshold.

Director and promoter documents

Even though the company borrows, directors usually give personal guarantees.

  • KYC of all directors: PAN, Aadhaar, passport-size photographs, and current address proof.
  • Personal bank statements and ITRs: Especially for the managing director or promoter holding the majority stake.
  • Net worth statement: List of personal assets and liabilities to support the guarantee.
  • Director's report or board resolution: Authorising the borrowing, naming authorised signatories, and approving the security.

Loan-purpose and security documents

  • Quotation or proforma invoice: For machinery loans, equipment finance, or term loans with a specific asset purchase.
  • Property documents: For loan against property — sale deed, title deeds, encumbrance certificate, approved plan, occupancy certificate, and valuation report.
  • Statement of purpose: A short note explaining how the loan will be used and how it will improve revenue or reduce cost.

How a checklist helps your company get a better loan

  1. Faster sanction. A complete file moves from login to sanction in 7-12 working days instead of 4-6 weeks.
  2. Higher loan amount. When income, GST and bank credits match, lenders trust the numbers and sanction closer to the eligibility ceiling.
  3. Lower interest rate. A clean, complete file is perceived as lower risk. Relationship managers have more room to negotiate pricing.
  4. Fewer CIBIL enquiries. Getting it right the first time avoids multiple applications across banks.
  5. Stronger lender relationship. Banks remember companies that present organised files. That helps with future limits, top-ups and emergency credit.

Common mistakes that delay or reject Pvt Ltd loan applications

  • Submitting unaudited financials when audited reports are mandatory.
  • Mismatch between GST turnover and ITR turnover.
  • Bank statements with frequent cheque bounces or unexplained large cash withdrawals.
  • Missing board resolution or resolution with incorrect loan amount.
  • ROC charges not updated after previous loans were closed.
  • Directors with low CIBIL scores or unresolved defaults.

Frequently asked questions

How long does it take to get a business loan for a Pvt Ltd company?

With complete documents, unsecured business loans are sanctioned in 7-15 working days. Secured loans like LAP or term loans with property may take 15-25 working days due to legal and valuation checks.

Can a loss-making Pvt Ltd company get a loan?

It is difficult through banks. NBFCs may consider cash-flow-based lending if GST turnover and bank credits are healthy, but expect higher rates and lower amounts.

Is a chartered accountant's report mandatory for a company loan?

For most bank loans above a threshold, yes. Audited financials add credibility. Some fintech lenders accept GST-based assessment for smaller amounts.

What if my company is newly incorporated?

Focus on promoter profile, GST returns, bank statements, and any existing business track record of the directors. Some lenders offer startup or first-time entrepreneur programmes.
